 1.    Services Required:
 a.  Furnish  all  necessary   labor,   materials  and  equipment
 required  to   evaluate  up  to    two individuals'          abilities   to   locate,
 collect,  assess        and protect  data  in accordance with classified
 statement  of work on  file with     the contract  officer's  representative.
 b.  All  work   under  this    contract     will be        identified   as  and
 entitled  "Project   Star."
 c.  The  evaluation  process  will  commence  on  or  about             1  August
 1984,  and will    conclude  on  or about  30 November  1984. Evaluation
 criteria  are  as  follows:
 (1) Monthly  progress reports      (two  copies)                 will  be  provided to
 customer  within         10 working days of the  completion  of  each         30 day
 period.
 (2)   A  final written evaluation   and    recommendations (two            copies
 each)    will  be provided the  customer  within  30  days  of                   contract
 completion.
 d.  Inspection  and   acceptance of    the  services  shall                be
 accomplished  by designated  contracting officer's    representative.
 a.   "Human   Use."   This project has been adjudged  to  fall  under
 the   provisions  of  the  various  rules    and  regulations                    governing
 "Experimentation  on     Human Subjects," and as  such  must  conform to
 these    provisions.     Acceptance of   this     contract  indicates
 contractor's  intention  to  abide  by  all  applicable  requirements of
 Procedure  13,  DoD Directive  5240.1-R  (Dec  1982),  and  Code  of  Federal
 Regulations,  Department   of Health  and  Human  Services,  45  CFR  46,  (8
 March  1983), attached  as  Inclosure  1.    Requirements  concerning the
 use  of human subjects are  at  Inclosure  2.

 a.    SSPD  has  examined            the  available  contractor-expertise  for
 evaluating  the       potential  abilities  of individuals in  locating,
 collecting, assessing       and     protecting  data meeting  the peculiar
 mission and operational       requirements  of  this organization.
 b.    McDonnel    Douglas   Astronautics Company   (MDAC)-Huntington
 Beach   has a     long  history  of  involvement  with  the   intelligence
 community  involving  data     collection,  processing  and   assessment,  and
 was   selected    as sole-source    contractor  for  several  reasons.  First,
 MDAC  has   been  one of the    few  firms  seriously  involved  in developing
 the   unique technology  with  which        this project deals, and   has
 managed  to  put  together and      synthesize into  a  cohesive  package  the
 variety  of  disciplines  and        tools  needed for  this   particular
 evaluation   project.   In addition,        several of   the   evaluation
 instruments  are  proprietary with       MDAC,  having  been  developed by  or
 in  coordination  with  MDAC  personnel     and therefore  not  available   to
 other  potential  contractors.        MDAC is  the only corporation    capable
 of     preparing  and delivering  a model   evaluation  package  that    falls
 within      the parameters required  by  this  project  within  the  necessary
 time  constraints.
 c.    This  project  continually   and exhaustively    monitors  the
 state-of-the-art  in  the    field,  as  well   as  related  disciplines.   No
 other    entity   with the   requisite   resources  and   expertise   for
 satisfactory     contract  completion has   been  identified.
 d.    The  fact  that  MDAC  already  has   in  place  the  necessary
 security  provisions  for      interfacing  with  a  special access    program
 (SAP)     would greatly expedite  execution of    the contract.
